Orders:

Orders must be placed by letter, telex or fax. Telephone orders must be confirmed in writing, marked "confirmation". All orders are subject to our general sales conditions, any special provisions being subject to our written acceptance.

PRICE:


Our prices are given without commitment and are those in force at the time of delivery. Our prices do not include taxes and are quoted ex-works unless otherwise stated. Prices shown on issued price lists may be changed without prior notice. The may be revised in accordance with current legislation and as necessary within the trade.

CARRIAGE - DELIVERIES:

Agreed delivery deadlines are given in good faith for information only and failure to meet them leads to neither cancellation of the order nor any compensation whatsoever.
Goods are transported at the recipient's risk whatever mode of transport or procedures for settling transport costs. It is the recipient's responsibility to make a detailed check of the goods on arrival and, in the event of damage or losses, to protect their rights with respect to transporters by expressing reservations in good time following procedures provided under the law.

DRAWINGS, QUOTATIONS, DESIGNS:


Drawings, quotations and designs created on customer request remain our intellectual property and must not be sent to third parties, no executed without our explicit agreement and written consent.
Characteristic technical dimensions shown on quotations, drafts or designs as well as on printed literature, brochures, catalogues and other materials are only given for information and do not constitute a commitment on the part of FAIVRE under any circumstances whatsoever.
Drawings, designs and quotations as well as all documents of any type are only provided free of charge insofar as they are followed by an order. If not, you may be required to return these documents and you may be invoiced for the cost of preparing them.

PAYMENT:

Unless otherwise specified, our invoices are payable with the order. When we accept being paid by a bill issued by the purchaser, this must be received no more than ten days from the receipt of our invoices. Creating a bill of exchange does not, under any circumstances, constitute either an exemption or a substitution in lieu of payment. By explicit agreement and unless we grant a delay, failure to pay by the due date, whatever the proposed payment method, results in the purchaser being liable to pay interest at the current Banque de France base rate, increased by 4 points, without prejudice to recovery costs and damages and subsequent commitments, after issuing written notice to pay brings no result.

RESERVATION OF OWNERSHIP:

By applying the provisions of law no. 80.335 dated 12 May 1980, goods sold remain the property of the vendor until full payment of the price and of its accessories.

ASSIGNMENT OF JURISDICTION:


All disputes relating to this contract will be under the sole jurisdiction of the Courts at BESANCON, whatever the conditions of sale and payment accepted, and even in the event of recourse to the guarantee or multiple defendants.
